Pricing depends on what your business specifically needs, your state, your stage, and the services required. We discuss pricing clearly and transparently on your free strategy call. There are no hidden fees or surprise charges. You will know exactly what things cost before you commit to anything.
Two costs sit side by side on every project. Our service fee, which we quote up front, and the state filing fee, which the state charges directly and which varies widely. State formation fees currently run from about $35 to $520 depending on where you file. Permits, licences and registered agent service are quoted separately based on what your machines sell and where they sit.
How long does the legal setup process take?
It depends on your state. Some states process filings in a matter of days. Others take a few weeks. We will give you a specific timeline estimate for your state on your first call. What we can promise, we work efficiently and keep you updated throughout the process. You will never wonder what is happening.
As a rough shape: we usually prepare and submit a formation within a few business days of receiving your details. State approval is the variable. Your EIN follows quickly once the entity exists. Permits and licences are typically the longest leg, because some require a health inspection or a local review before they are issued.
Which states does VAdviced serve?
All 50 states. Vending permit and compliance requirements vary significantly by state, and we handle the full range across the country.
That matters more than it sounds. Requirements do not just differ between states, they differ between counties and cities inside the same state, and they change based on what your machines sell. We file wherever your route reaches, including the extra registrations that get triggered the first time you place a machine across a state line.

Does VAdviced give legal or tax advice?
No. We are a document filing and compliance service, not a law firm or an accounting firm. We prepare and file your paperwork, explain how each requirement applies to vending in plain language, and keep your filings current.

What happens after I place an order?
We confirm the details, validate everything against your state's requirements, and prepare your documents. You sign wherever a signature is legally required, and we submit. You receive the filed paperwork, your EIN if it is part of your package, and the permit assessment for your machines.
After that we track renewals and ongoing filings and alert you before anything is due, so an annual report or a licence renewal does not lapse while you are out running the route.
Business structure
7 questionsDo I really need an LLC, or can I just start as a sole proprietor?
You can legally operate as a sole proprietor. But doing so means your personal assets, savings, property, income, are exposed to any business liabilities. For a vending business, where machines are placed in public locations and serve customers, an LLC is strongly recommended. It protects you personally and gives your business a proper legal identity for banking, contracts, and taxes.
There is also a practical side. Many location owners and larger accounts prefer to sign a placement agreement with a registered business rather than an individual, and some wholesale distributors require an entity before they will open an account. What if I only have one or two machines?
Even operators with one machine need the right legal foundation. One machine is still a business. And one machine placed without the right permits in the wrong location can still result in fines or removal. Starting correctly is always easier and cheaper than fixing problems later.
LLC, S Corporation, or C Corporation, which one fits vending?
For most operators the answer is an LLC. It is available in every state, works for one owner or several, and keeps administration light. An S Corporation is a tax election you add on top once the route is profitable enough that the self employment tax saving outweighs running payroll. A C Corporation suits operators raising outside investment or scaling to a large multi state operation.
The order matters. Most operators form the LLC first and elect S Corporation treatment later, rather than choosing between them on day one.
Which state should I form in?
The state where your machines actually operate, in almost every case. Forming in Delaware, Nevada or Wyoming while running a route somewhere else means registering as a foreign entity at home and paying fees in both states, with no real benefit for a small operation.
The exception is an operator already running machines across several states, where the home state may not be obvious. That is a conversation for the call rather than a rule of thumb.
Do I need a registered agent?
Yes. Every LLC and corporation must have a registered agent with a physical address in its state of formation, and one in each additional state where you operate. The agent receives legal and government notices on behalf of the business.

Do I need an EIN?
If you form an LLC or a corporation, yes. The EIN is your federal tax ID and you need it to open a business bank account, file business taxes and apply for most licences. A partnership is required to have one. A single owner sole proprietor can use a Social Security number, but an EIN keeps that number private.
The IRS issues an EIN free of charge. Never pay a third party for the number itself.
Can I run vending machines through a nonprofit?
Yes, when the machines fund a genuine charitable, educational, religious or community mission, such as a booster club, a PTA or a church. The revenue has to support the mission rather than be paid out to individuals.

Permits and licences
5 questionsWhat permits does a vending machine actually need?
It depends on where the machine sits and what it sells, but the usual stack is a general business licence from your city or county, a state sales tax permit, and a vending machine permit at state or local level. Food and beverage machines add a health department permit and periodic inspections.
Some states also require an identification decal on each machine. Requirements can differ from one city to the next inside the same state, which is why we run a permit assessment per location rather than assuming. See vending legal requirements.
Do I need a separate licence in every state I operate in?
Usually yes. Licences and permits are issued at state, county and city level, so a route that crosses state lines needs its own set in each state, and often in each city. Product specific licences, such as a tobacco retail licence, are always state specific.
Tell us before the machines move rather than after. Filing ahead of a placement is straightforward. Unwinding an unlicensed placement is not.
Do I need a health department permit?
If your machines dispense food or beverages, in most jurisdictions yes. The permit usually comes with periodic inspections of the machine and, in some places, of your storage and restocking practice.
Machines selling non food items such as trading cards or merchandise generally do not need one. Operators running twenty or more machines also fall under federal calorie labelling rules for vending items.
Do I need insurance?
It is not always a legal requirement, but it is a practical one. Mall managers, airport operators, campus administrators and most corporate venues require a certificate of insurance before they will sign a placement agreement.
General liability is the minimum most venues accept. A business owner policy bundles that with cover for the machines and stock themselves. We are not insurance brokers, but we will tell you what your placements are likely to ask for.
What happens if I operate without the right permits?
The usual outcomes are a fine, a machine pulled from the location, or a licence application refused later because of the earlier violation. With regulated products the penalties are considerably heavier and can include federal enforcement.
The quieter cost is the location itself. A venue that has had a machine removed by an inspector rarely invites the operator back.
Tax and ongoing compliance
4 questionsDo I have to register for sales tax?
In most states, yes, and before your first sale rather than after it. Vending sales are taxable in the majority of states, and some tax food and non food items at different rates.
Registration is free or close to free in most states. Skipping it does not create a fine so much as a running back tax liability, which is a harder problem to clear up later.
How is my vending income taxed?
By default a single member LLC is taxed like a sole proprietorship and a multi member LLC like a partnership, with profit passing through to the owners' personal returns and carrying self employment tax. A C Corporation is taxed at the entity level and again on dividends.
Once a route is consistently profitable, electing S Corporation treatment lets you split income between a reasonable salary and distributions, which can reduce the self employment tax. We will tell you honestly whether your numbers are there yet.
What do I have to keep filing after everything is set up?
Most states require an annual or biennial report and fee. Licences and permits renew on their own schedules. If you elected S Corporation status you also run payroll and file the corporate return alongside your personal one.
Miss enough of these and a state can administratively dissolve the entity, which quietly removes the liability protection while the business looks active. We track the dates and alert you ahead of each one.
What is the fastest way to lose my liability protection?
Mixing personal and business money. Paying for restocking on a personal card, banking machine revenue into a personal account, or covering personal bills from the business account all blur the line between you and the entity.
Courts call it piercing the corporate veil, and when it happens the protection you paid for stops applying. A separate business account from day one prevents almost all of it.
Regulated products
5 questionsAre vape vending machines legal?
Yes federally, and in most states, but only in venues where no person under 21 is admitted at any time, and only with age verification at the point of sale. A few states restrict unattended nicotine vending far more tightly.

What extra licensing do vape or nicotine machines need?
A state retail tobacco or ENDS licence in most states, on top of the usual business licence and sales tax permit. Some states add a distributor permit, product registration, or a machine specific vending permit, and many cities add a local privilege licence.
More than 32 states also apply an excise tax to vapour products, some on the wholesale price and some per millilitre of e liquid. That has to be tracked from the first order, not reconciled at year end.
Can I sell CBD or hemp products from a machine?
In some states yes, in others no, and the rules move faster than almost any other category in vending. Age restrictions, product registration and testing documentation are common requirements where it is allowed.
Because the position changes so often, we confirm the current rule for your state at the time of filing rather than working from a general answer.
What about hot food and fresh food machines?
Those attract the heaviest health department involvement. Expect a food service permit, an inspection, and rules on temperature control and product rotation. Some jurisdictions treat a fresh food machine much like a small food establishment.

Are mystery box or blind pack machines a problem?
Not usually illegal, but they are viewed as gambling adjacent by many venue managers and by some state regulators. Several corporate venue chains prohibit the format outright in their placement contracts.
Get the format approved in writing by the venue before you install, and check your state's position on it.
